These Terms and Conditions constitute a legally binding agreement between you and AI by Inspire. By accessing or using BAIO, you agree to be bound by these Terms.
This agreement contains:
- Disclaimers of warranties (Sections 14, 15)
- Limitations of liability (Section 17)
- A binding arbitration clause for certain jurisdictions (Section 19)
- An agreement that your individual results will vary (Section 13)
1 Introduction and Acceptance
1.1 The Parties
These Terms constitute a legal agreement between:
"You" ("your", "User", "Subscriber", or "Customer") "“ the individual or business entity accessing or using BAIO; and
"AI by Inspire Ltd", a company registered in England and Wales, with registered office at Water Ln, Grove Way, Wilmslow, Cheshire SK9 5AG, United Kingdom ("AI by Inspire", "BAIO", "we", "us", or "our").
For customers located in the United Arab Emirates or certain Middle Eastern and North African countries, services may be provided by a regional AI by Inspire entity. References to "AI by Inspire", "BAIO", "we", "us", or "our" include any such entities as applicable.
1.2 What is BAIO?
BAIO (pronounced "Bay-Oh") stands for "Be All In One" "“ a complete business automation platform providing customer relationship management, marketing automation, website building, AI-powered features, and related services.
1.3 Acceptance of Terms
By doing any of the following, you acknowledge that you have read, understood, and agree to be bound by these Terms:
- Creating a BAIO account
- Clicking "I Accept", "I Agree", "Start Free Trial", or similar buttons
- Accessing or using any BAIO services
- Paying for any BAIO subscription or service
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.
1.4 Eligibility
To use BAIO, you must:
- Be at least 18 years of age (or the age of legal majority in your jurisdiction)
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the services under applicable law
- Operate a legitimate business or be establishing one
1.5 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website, sending an email to your account address, or displaying a notice within BAIO. Your continued use after such changes constitutes acceptance.
2 Definitions
In these Terms, the following definitions apply:
3 Account Registration and Security
3.1 Account Creation
To use BAIO, you must create an Account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and Account credentials
- All activities that occur under your Account
- Notifying us immediately at [email protected] if you suspect unauthorised access
3.3 Restrictions
You may not:
- Share your Account credentials with any third party
- Create an Account using false or misleading information
- Create multiple Accounts to circumvent restrictions or abuse promotions
- Transfer or sell your Account to another party
3.4 Prohibition on Unauthorised Agency Accounts
Unless you are subscribed to the Agency plan with appropriate permissions, you may not use your Account to host, manage, or provide services for third-party businesses. If we determine you are operating an agency account without authorisation, we may require you to upgrade, apply additional fees, or terminate your Account.
4 The Services
4.1 Description of Services
BAIO is a business automation platform that includes:
- Customer Relationship Management (CRM)
- Email and SMS marketing
- Website and funnel builder
- Scheduling and calendar management
- Social media management
- Reputation management
- Workflow automation
- AI-powered features (website builder, content generation, chatbots, voice AI)
- Analytics and reporting
- Integrations with third-party services
The specific features available to you depend on your Subscription plan.
4.2 Platform Infrastructure
We are transparent that BAIO is built on GoHighLevel's white-label SaaS infrastructure, enhanced with our own customisations, branding, support, and additional features. This infrastructure approach allows us to provide enterprise-grade reliability and continuous updates.
4.3 Modifications to Services
We may modify, update, or discontinue any aspect of BAIO at any time. We will endeavour to provide reasonable notice of material changes that negatively affect your use of the Services.
5 Subscription Plans and Billing
5.1 Subscription Plans

Current pricing and features are available at baio.agency. Prices are in British Pounds Sterling (GBP) and exclude applicable taxes.
5.2 Billing
By subscribing to BAIO, you authorise us to charge your designated payment method for recurring subscription fees at the start of each billing period, usage-based charges, and any other applicable fees. Payments are processed through Stripe.
5.3 Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period unless you cancel before the renewal date. The payment method on file will be charged automatically.
5.4 Price Changes
We may change our prices at any time. For existing Subscribers, we will provide at least 30 days' notice before price changes take effect. Price changes will apply from your next billing period after the notice period.
5.5 Taxes
Fees are exclusive of all taxes, levies, and duties. You are responsible for paying all applicable taxes, including VAT, GST, sales tax, or equivalent taxes in your jurisdiction.
6 Free Trials
6.1 Trial Period
We offer a 14-day free trial for new users with access to Pro plan features. No payment is required to start, and you may cancel at any time without charge during the trial.
6.2 Automatic Conversion
IF YOU DO NOT CANCEL BEFORE YOUR TRIAL ENDS, YOUR TRIAL WILL AUTOMATICALLY CONVERT TO A PAID SUBSCRIPTION. The payment method you provided will be charged the applicable subscription fee.
To avoid charges, you must cancel at least 24 hours before your trial period ends by using the cancellation feature in your Account dashboard or emailing [email protected].
6.3 Trial Limitations
We reserve the right to limit trial availability, modify trial terms or duration, restrict trial features, and limit trials to one per person or business.
7 Cancellation and Refunds
7.1 How to Cancel
You may cancel your Subscription at any time by:
- Using the cancellation feature in your Account dashboard (Settings > Subscription > Cancel)
- Emailing [email protected] with the subject "Cancellation Request"
7.2 Cancellation Notice
You must provide at least 24 hours' notice before your next billing date. If you cancel with less than 24 hours' notice, your payment method may still be charged for the upcoming period.
7.3 Effect of Cancellation
Upon cancellation:
- Your Subscription will remain active until the end of your current paid period
- You will not be charged for subsequent periods
- No prorated refunds will be provided for unused time
- Your access to paid features will end when your current period expires
- Your data will be retained for 30 days, after which it may be permanently deleted
7.4 Refund Policy
General Policy: Due to the digital nature of our Services, we generally do not provide refunds for subscription fees already paid.
Exceptions: We may, at our sole discretion, provide refunds in cases of technical issues that prevented you from using the Services for an extended period, duplicate charges or billing errors, or other exceptional circumstances.
To request a refund, contact [email protected] within 14 days of the charge.
8 Acceptable Use Policy
8.1 Permitted Use
You may use BAIO only for lawful business purposes in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use BAIO for your internal business operations.
8.2 Prohibited Activities
You must not use BAIO to:

Without our prior written approval, you may not use BAIO for: adult content, gambling, cannabis/controlled substances, weapons, multi-level marketing, cryptocurrency, or political campaigns.
8.4 Consequences of Violation
If you violate this Acceptable Use Policy, we may issue a warning, suspend your access temporarily, terminate your Account permanently, report illegal activities to authorities, or seek legal remedies.
9 Electronic Communications Compliance
9.1 Your Responsibility
BAIO provides tools for sending emails, SMS messages, making phone calls, and other electronic communications. You are solely and exclusively responsible for ensuring your use of these tools complies with all applicable laws in your jurisdiction and the jurisdiction of your recipients.
9.2 General Requirements
When using BAIO's communication tools, you must:
- Obtain proper consent before sending marketing communications
- Provide clear identification of yourself or your business in all messages
- Include a valid physical address or link to your contact information
- Provide opt-out mechanisms in every marketing message
- Honour opt-out requests promptly (within 10 days maximum)
- Maintain accurate records of consent and opt-out requests
- Not send to purchased, rented, or scraped lists
- Screen against do-not-call registries where applicable
9.3 Jurisdiction-Specific Requirements
You must comply with laws in both your location and your recipients' locations, including:
- UK: PECR, UK GDPR, TPS/CTPS screening
- EU: GDPR, ePrivacy Directive
- USA: CAN-SPAM Act, TCPA, CCPA
- Canada: CASL, PIPEDA
- Australia: Spam Act 2003, Do Not Call Register Act
- UAE: Federal Decree-Law No. 34 of 2021, Consumer Protection Law
9.4 Automated and AI Calling
IMPORTANT "“ AI VOICE FEATURES
If you use Voice AI, automated calling, or any features involving pre-recorded or AI-generated voice communications, you must:
- "¢ Obtain explicit prior consent specifically mentioning automated/AI calls
- "¢ Understand that general marketing consent is NOT sufficient
- "¢ Clearly identify automated calls as such at the beginning
- "¢ Display valid caller ID (CLI) on all calls
- "¢ Not call numbers on do-not-call lists without specific consent
Penalties for violating automated calling laws can be severe. In the UK, PECR penalties can reach £17.5 million or 4% of global turnover. In the US, TCPA violations can result in $500-$1,500 per call.
10 AI-Powered Features
10.1 AI Features Overview
BAIO includes various AI-powered features, including AI Website Builder, AI Content Generation, Conversation AI (chatbots), Voice AI, AI scheduling, and AI-powered analytics.
10.2 Important Disclaimers
Accuracy: AI-generated content is provided for convenience and may contain errors, inaccuracies, or inappropriate content. AI outputs should not be relied upon without human review.
No Warranty: We make no warranties regarding the accuracy, reliability, completeness, quality, or fitness for purpose of any AI-generated content.
10.3 Your Responsibility
You are solely responsible for:
- Reviewing and editing all AI-generated content before use
- Ensuring AI outputs comply with applicable laws
- Verifying AI outputs do not infringe third-party rights
- Confirming AI content is accurate and appropriate for your audience
- Not representing AI-generated content as human-created when disclosure is required
10.4 Intellectual Property
Your Content: Content you create using AI tools that incorporates your substantial creative input belongs to you, subject to any rights of third parties and our licence rights in these Terms.
Our Technology: We retain all rights to the underlying AI technology, models, algorithms, and systems.
Training Data: Your Customer Data will not be used to train our AI models unless you explicitly opt in.
11 Your Responsibilities
11.1 Compliance with Laws
You are solely responsible for complying with all applicable laws, regulations, and industry standards, ensuring your use of BAIO and your business practices are lawful, obtaining any necessary licences or authorisations, and filing and paying all applicable taxes.
11.2 Your Business
You acknowledge that you are operating a business or establishing one, you are responsible for all aspects of running your business, BAIO is a tool to assist your business (not a substitute for business judgment), and we do not provide leads, customers, or referrals to your business.
11.3 Professional Advice
BAIO and its support team do not provide legal advice, tax or accounting advice, financial or investment advice, or medical or health advice. You should consult qualified professionals for advice in these areas.
11.4 Your Customers
You are solely responsible for your relationships with your customers, the products and services you offer, customer support and satisfaction, honouring your commitments, and handling complaints and refunds.
12 Intellectual Property
12.1 Our Intellectual Property
BAIO and all associated intellectual property (including the BAIO name, logo, branding, software, source code, algorithms, website design, documentation, and templates) are owned by AI by Inspire or our licensors and are protected by intellectual property laws. All rights not expressly granted are reserved.
12.2 Limited Licence to You
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use BAIO for your internal business purposes and use our templates and pre-built content to create your own materials.
This licence does not include the right to modify, copy, or create derivative works of BAIO, reverse engineer or decompile BAIO, sell or redistribute BAIO, use BAIO to create a competing product, or remove any proprietary notices.
12.3 Your Content
You retain ownership of your original User Content. By uploading User Content to BAIO, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, backup, display, and process your User Content to provide the Services.
12.4 Feedback
If you provide suggestions, ideas, or feedback about BAIO, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate the Feedback into our products without any obligation to you.
13 Results Disclaimer
YOUR INDIVIDUAL RESULTS WILL VARY
BAIO is a business tool that can assist your operations, but we cannot and do not guarantee any specific results, outcomes, revenue, or success.
13.1 Factors Affecting Results
Your results depend on many factors outside our control, including:
- Your business model and industry
- The quality of your products and services
- Your marketing strategy and execution
- Your skills, experience, and dedication
- Market conditions and competition
- Economic factors and your geographic location
- The amount of time and effort you invest
13.2 No Earnings Claims
WE DO NOT MAKE EARNINGS CLAIMS. We do not promise, guarantee, or warrant any specific income, revenue, or profit, any return on investment, that you will recoup your subscription costs, or that any particular level of success is typical or achievable.
Testimonials and case studies represent individual results and are not guarantees. Results shown are not typical.
13.3 What BAIO Is NOT
BAIO is NOT a "get rich quick" scheme, a business opportunity or franchise, a guaranteed system for success, a substitute for business skills and effort, or a source of leads, customers, or referrals.
13.4 Professional Advice
We strongly recommend that before making significant business decisions, you consult with a qualified accountant for tax and financial matters, a qualified lawyer for legal matters, and a qualified business advisor for strategic matters.
14 Service Levels and Downtime
14.1 Service Availability Target
We strive to maintain high availability of BAIO and target 99.9% uptime for our core platform services, measured on a monthly basis. However, this is a target, not a guarantee, and we do not provide service level credits or refunds for downtime.
14.2 No Guarantee of Uninterrupted Service
IMPORTANT: We do not guarantee uninterrupted, error-free, or secure access to BAIO. The Services are provided on an "as is" and "as available" basis.
14.3 Scheduled Maintenance
We perform regular maintenance to improve BAIO's performance, security, and features. We will endeavour to:
- Provide at least 24 hours' advance notice for planned maintenance expected to cause significant disruption
- Schedule major maintenance during low-usage periods where practicable
- Keep maintenance windows as short as reasonably possible
Scheduled maintenance is not considered downtime for any service level purposes.
14.4 Unscheduled Downtime
The Services may be temporarily unavailable due to:
- Emergency maintenance required for security or stability
- Technical failures or software bugs
- Hardware failures in our infrastructure or our providers' infrastructure
- Network or connectivity issues beyond our control
- Third-party service outages (including cloud providers, payment processors, email delivery services)
- Distributed denial of service (DDoS) attacks or other malicious activity
- Force majeure events (see Section 23.5)
14.5 Our Response to Outages
In the event of unscheduled downtime affecting core services, we will:
- Work diligently to restore service as quickly as reasonably practicable
- Post status updates at [status page URL if applicable] or via email for extended outages
- Conduct post-incident reviews for significant outages to prevent recurrence
14.6 Exclusions
The following are not considered service unavailability:
- Scheduled maintenance with advance notice
- Factors outside our reasonable control (see Force Majeure, Section 23.5)
- Issues caused by your equipment, software, or internet connection
- Issues caused by your misuse of the Services or violation of these Terms
- Outages of third-party services that integrate with BAIO
- Features marked as "beta", "experimental", or "preview"
- Suspension of your Account due to non-payment or Terms violations
14.7 No Liability for Downtime
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- "¢ Any loss of revenue, profits, or business arising from service unavailability
- "¢ Loss of data or data corruption during outages
- "¢ Missed opportunities or deadlines due to downtime
- "¢ Any indirect, incidental, special, or consequential damages related to service availability
14.8 Your Responsibility
You acknowledge that:
- No online service can guarantee 100% availability
- You should maintain backup procedures for critical business processes
- You should not rely solely on BAIO for time-critical operations without contingency plans
- You are responsible for exporting and backing up your important data regularly
14.9 Agency Plan "“ Enhanced Support
Agency plan subscribers receive priority support during outages, including faster response times, direct communication channels, and priority restoration where technically feasible. Contact your account manager for details.
15 Disclaimers of Warranties
15.1 "As Is" Basis
EXCEPT WHERE PROHIBITED BY LAW, BAIO AND ALL RELATED SERVICES, FEATURES, CONTENT, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
15.2 Disclaimer of Specific Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability: We do not warrant that BAIO is fit for sale or will meet commercial standards.
- Fitness for Purpose: We do not warrant that BAIO is suitable for your specific purposes.
- Non-Infringement: We do not warrant that BAIO does not infringe third-party rights.
- Accuracy: We do not warrant that information provided through BAIO is accurate, complete, or current.
- Reliability: We do not warrant that BAIO will be reliable, timely, or error-free.
- Availability: We do not warrant uninterrupted access to BAIO.
- Security: We do not warrant that BAIO is completely secure or free from vulnerabilities.
- Results: We do not warrant any specific results from using BAIO.
15.3 Consumer Rights
If you are a consumer in certain jurisdictions, you may have statutory rights that cannot be excluded. Nothing in these Terms is intended to exclude rights that cannot legally be excluded. See Section 24 for region-specific terms.
16 Third-Party Services and Integrations
16.1 Third-Party Services
BAIO integrates with and relies upon various third-party services, including payment processing (Stripe), email delivery services, SMS providers, social media platforms (Meta, TikTok, LinkedIn), calendar services (Google Calendar, Outlook), cloud infrastructure providers, and analytics services.
16.2 Third-Party Terms
Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services and do not warrant their availability, functionality, or compliance with laws.
16.3 No Guarantee of Integration
We do not guarantee that integrations will always function correctly, third-party services will remain available, third parties will not change their services in ways that affect BAIO, or data transferred to third parties will be processed correctly.
16.4 Third-Party Liability
We are not liable for actions or omissions of third-party service providers, data loss or corruption caused by third-party services, fees charged by third-party services, changes to third-party services that affect BAIO functionality, or security breaches at third-party services.
17 Limitation of Liability
17.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AI BY INSPIRE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, OR BUSINESS, LOSS OF DATA OR DATA CORRUPTION, LOSS OF GOODWILL OR REPUTATION, COST OF SUBSTITUTE SERVICES, OR BUSINESS INTERRUPTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
17.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF BAIO SHALL NOT EXCEED THE GREATER OF:
- "¢ The total fees paid by you to us during the three (3) months immediately preceding the event giving rise to the claim; or
- "¢ Two thousand British Pounds Sterling (£2,000)
17.3 Basis of the Bargain
YOU ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US. BAIO WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.
17.4 Exceptions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited by applicable law.
18 Indemnification
18.1 Your Indemnification Obligations
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless AI by Inspire, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use or misuse of BAIO
- Your breach of these Terms
- Your violation of any law or third-party rights
- User Content you upload or transmit
- Your business activities, products, or services
- Your customers' claims against you
- Your negligence or wilful misconduct
- Any third-party claims arising from your use of BAIO
18.2 Indemnification Procedure
We will notify you promptly of any claim, provide reasonable cooperation in the defence, and allow you to control the defence and settlement (provided any settlement does not adversely affect us without our consent).
19 Dispute Resolution
19.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
19.2 Mediation
If informal resolution fails, the parties agree to attempt mediation before proceeding to arbitration or litigation. Mediation shall be conducted by a mutually agreed mediator or, failing agreement, a mediator appointed by the Centre for Effective Dispute Resolution (CEDR) or equivalent body.
19.3 Arbitration (United States Residents)
FOR USERS LOCATED IN THE UNITED STATES "“ PLEASE READ CAREFULLY
Agreement to Arbitrate: You and AI by Inspire agree that any dispute arising from these Terms or your use of BAIO shall be resolved by binding arbitration rather than in court, except that either party may bring claims in small claims court if eligible.
Class Action Waiver: YOU AND AI BY INSPIRE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of accepting these Terms.
19.4 Time Limit
Any claim arising from these Terms or your use of BAIO must be brought within one (1) year after the cause of action arises, or such claim is permanently barred. This does not affect any statutory limitation periods that cannot be shortened by agreement.
20 Governing Law and Jurisdiction
20.1 Governing Law
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
20.2 Jurisdiction
Subject to Section 19 (Dispute Resolution) and Section 24 (Region-Specific Terms):
- United Kingdom and European Union: The courts of England and Wales shall have exclusive jurisdiction.
- United Arab Emirates: The courts of Dubai shall have jurisdiction.
- All Other Locations: The courts of England and Wales shall have non-exclusive jurisdiction.
21 Termination
21.1 Termination by You
You may terminate your Account at any time by following the cancellation procedure in Section 7.
21.2 Termination by Us
We may suspend or terminate your access to BAIO immediately, without prior notice, if you breach these Terms, violate the Acceptable Use Policy, fail to pay fees when due, we receive valid legal process requiring termination, we reasonably believe your actions may expose us to liability, you become subject to bankruptcy or insolvency proceedings, or we cease providing BAIO (with reasonable notice).
21.3 Effect of Termination
Upon termination: your right to access BAIO ceases immediately, you remain liable for all fees incurred before termination, we may delete your Customer Data after 30 days, and provisions that by their nature should survive will survive (including Sections 12-18, 20, and 23).
21.4 Data Export
Before termination, you should export any data you wish to retain. We provide data export tools, but we are not responsible for data you fail to export before termination.
22 Privacy and Data Protection
22.1 Privacy Policy
Our Privacy Policy, available at baio.agency/privacy, describes how we collect, use, and protect your personal information. By using BAIO, you consent to our data practices as described in the Privacy Policy.
22.2 Data Protection
We process personal data in accordance with UK GDPR and Data Protection Act 2018, EU GDPR (where applicable), and other applicable data protection laws.
22.3 International Transfers

If you collect personal data using BAIO (e.g., from your customers), you are responsible for complying with applicable data protection laws, providing appropriate privacy notices, obtaining necessary consents, responding to data subject requests, and implementing appropriate security measures.
23 General Provisions
23.1 Entire Agreement
These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and AI by Inspire regarding BAIO and supersede all prior agreements.
23.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or if modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.
23.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative.
23.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without your consent, including in connection with a merger, acquisition, or sale of assets.
23.5 Force Majeure
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war or terrorism, government actions, internet or telecommunications failures, power outages, pandemics, and third-party service failures.
23.6 Independent Contractors
The relationship between you and AI by Inspire is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

23.8 Language
These Terms are written in English. If translated into another language, the English version prevails in case of conflict.
24 Region-Specific Terms
24.1 United Kingdom and European Union
Right of Withdrawal: Consumers may have the right to cancel within 14 days of purchase without giving a reason. However, by using BAIO immediately, you acknowledge and consent that you will lose this right of withdrawal once the service has been fully performed.
Consumer Guarantees: If BAIO does not conform to its description or is not of satisfactory quality, you may have rights under the Consumer Rights Act 2015 (UK) or equivalent EU laws.
Data Protection: You have rights under UK GDPR / EU GDPR including access, rectification, erasure, restriction, data portability, and objection. See our Privacy Policy for details.
24.2 United States
Arbitration and Class Action Waiver: Section 19.3 applies to you. Please read it carefully.
California Residents: You have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, request deletion, opt out of sale of personal information, and non-discrimination. Contact [email protected] to exercise your rights.
24.3 Australia
Australian Consumer Law: Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

CASL: Canada's Anti-Spam Legislation has specific requirements for commercial electronic messages. You must obtain express or implied consent, identify yourself clearly, and include an unsubscribe mechanism. Penalties for CASL violations can be up to CAD $10 million per violation.
24.5 United Arab Emirates
Electronic Transactions: Your acceptance of these Terms constitutes a valid electronic agreement under UAE Federal Law No. 1 of 2006 on Electronic Commerce and Transactions.
Consumer Protection: You may have rights under UAE Consumer Protection Law. For complaints, you may contact the UAE Ministry of Economy Consumer Protection Department.
24.6 Other Jurisdictions
